Terms of Service.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and Wotabox, operated from Queensland, Australia ("Wotabox," "we," "our," or "us"). These Terms govern your access to and use of the Wotabox website (wotabox.com), mobile applications, and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

1. Eligibility and Account Registration

1.1 Age Requirement

You must be at least 18 years of age to create an account and use the Service. By creating an account, you represent and warrant that you are at least 18 years old.

1.2 Account Creation

To use certain features of the Service, you must create an account by providing accurate and complete information, including your name, email address, and a password. You agree to keep your account information current and accurate.

1.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@wotabox.com of any unauthorised use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

1.4 One Account Per Person

Each individual may maintain only one account. We reserve the right to suspend or terminate duplicate accounts.

Wotabox is a gifting platform that enables users to:

Gift recommendations are generated by artificial intelligence based on information you provide about recipients, including their name, age, relationship, interests, notes, country, occasion type, and budget. Recommendations are suggestions only and are provided for informational and inspirational purposes. We do not guarantee the accuracy, availability, pricing, or suitability of any recommended product. Recipients receive an Amazon gift card and may use it to purchase any item on Amazon, regardless of the recommendation.

2.3 Service Availability

We strive to maintain the availability and reliability of the Service but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We shall not be liable for any modification, suspension, or discontinuation of the Service.

3. Payments, Fees, and Refunds

3.1 Acceptance of Terms at Signup and Purchase

By creating an account, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. By proceeding with a gift purchase, you additionally agree to the refund policy set out in Section 3.4 and authorise the charge displayed at checkout.

3.2 Gift Card Purchases

When you send a gift through the Service, you purchase an Amazon gift card at the face value you select. Gift cards are purchased and delivered through Amazon's Incentives platform and are subject to Amazon's terms and conditions.

3.3 Service Fee

Each gift transaction is subject to a gift wrapping and personalisation fee calculated as $0.99 + 2.9% of the gift card amount, capped at a maximum of $9.99 per transaction ("Service Fee"). The Service Fee is displayed as a single dollar amount at checkout before you confirm the transaction. The Service Fee covers AI-generated recommendations, personalised greeting assistance, the animated reveal experience, secure payment processing, and gift delivery.

3.4 Payment Processing

Payments are processed by our third-party payment processor, Stripe. By making a payment, you agree to Stripe's terms of service. We do not store your full payment card details on our servers.

3.5 Refund Policy

3.6 Currency

All prices and transactions are displayed and processed in the currency applicable to the recipient's Amazon marketplace (e.g., USD for Amazon US, AUD for Amazon Australia, GBP for Amazon UK, CAD for Amazon Canada).

3.7 Taxes

You are responsible for any applicable taxes on your purchases. We may collect and remit sales tax where required by law.

3.8 Payment Disputes and Chargebacks

If you initiate a chargeback or payment dispute with your bank or payment provider for a transaction where a gift card was successfully delivered, we reserve the right to immediately suspend your account, revoke any undelivered gift cards, and pursue recovery of the disputed amount. Fraudulent chargebacks may result in permanent account termination and referral to law enforcement. If you believe a charge is incorrect, contact us at support@wotabox.com before initiating a dispute with your payment provider.

4. Recipient Terms

4.1 Gift Delivery

Gifts are delivered to recipients via email to the address provided by the sender. We are not responsible for gifts sent to incorrect email addresses or for email delivery failures caused by the recipient's email provider, spam filters, or other factors outside our control.

4.2 Gift Card Redemption

Gift card claim codes are displayed on the reveal page. Recipients redeem gift cards directly on Amazon's website. Wotabox is not responsible for Amazon's redemption process, gift card terms, product availability, pricing, or customer service.

4.3 Gift Card Code Security

Once a gift card claim code is displayed on the reveal page, the recipient is solely responsible for the security of that code. Wotabox is not liable for gift card codes that are shared, forwarded, screenshotted, or otherwise disclosed by the recipient to third parties. We cannot replace, refund, or reissue gift card codes that are used by someone other than the intended recipient as a result of the recipient's actions.

4.4 Recipient Data

Recipients who receive a gift through the Service are not required to create a Wotabox account. By visiting the reveal page, recipients consent to the collection of engagement data (such as page visit, interaction timing, and link clicks) as described in our Privacy Policy.

We reserve the right to investigate, suspend, or terminate your account and refuse future access to the Service if we believe you have violated these Terms, without prior notice and without liability.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its design, software, code, branding, logos, trademarks, content, AI models, recommendation algorithms, reveal page designs, animation systems, and all associated intellectual property, is owned by or licensed to Wotabox and is protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, modify, distribute, display, create derivative works from, or otherwise exploit any part of the Service without our prior written consent.

6.2 Your Content

You retain ownership of the content you provide to the Service, including personal greetings, notes, and uploaded photos. By submitting content to the Service, you grant Wotabox a worldwide, non-exclusive, royalty-free, transferable, sub-licensable licence to use, reproduce, modify, display, and distribute your content solely for the purposes of providing, improving, and promoting the Service. For greetings and messages, this includes displaying them to gift recipients on notification emails and reveal pages.

6.3 Feedback

If you provide feedback, suggestions, or ideas regarding the Service, you grant us an unrestricted, irrevocable, perpetual, royalty-free licence to use such feedback for any purpose without obligation or compensation to you.

7. Data and Analytics

7.1 Aggregated Data

As described in our Privacy Policy, we may create, use, sell, licence, and otherwise commercialise Aggregated Data derived from user activity on the Service. Aggregated Data is de-identified and anonymised such that it cannot reasonably identify any individual. By using the Service, you acknowledge and consent to our creation and commercial use of Aggregated Data.

7.2 AI Training and Improvement

We may use aggregated and de-identified data relating to gifting patterns, recommendation interactions, and user engagement to evaluate, train, and improve our AI recommendation systems and other Service features.

8. Amazon and Third-Party Services

8.1 Amazon

Gift cards are provided by Amazon and are subject to Amazon's terms and conditions. Wotabox is not affiliated with, endorsed by, or sponsored by Amazon, except as a participant in the Amazon Associates Programme and as an authorised user of the Amazon Incentives API. We are not responsible for Amazon's products, services, availability, pricing, customer service, or policies.

8.2 Amazon Associates Disclosure

Wotabox participates in the Amazon Associates Programme, an affiliate advertising programme. When recipients click product recommendation links on the reveal page, Wotabox may earn a commission from qualifying purchases at no additional cost to the sender or recipient.

8.3 Third-Party Services

The Service integrates with and relies upon third-party services including Amazon, Stripe, Anthropic (Claude AI), Resend, Supabase, and Expo. We are not responsible for the availability, performance, or policies of these third-party services. Your use of third-party services may be subject to their own terms and conditions.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded, restricted, or modified by agreement. To the extent that our liability for breach of any such guarantee cannot be excluded, our liability is limited (at our option) to the re-supply of the relevant service or the payment of the cost of having the service re-supplied.

You agree to indemnify, defend, and hold harmless Wotabox, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

12.1 By You

You may terminate your account at any time by contacting support@wotabox.com or through account settings. Termination does not entitle you to a refund of any previously paid Service Fees.

12.2 By Us

We may suspend or terminate your account at any time, with or without cause or notice, if we believe you have violated these Terms, engaged in fraudulent or abusive conduct, or for any other reason at our sole discretion.

12.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may retain your information as described in our Privacy Policy. Sections 6 (Intellectual Property), 7 (Data and Analytics), 9 (Disclaimer), 10 (Limitation of Liability), 11 (Indemnification), and 14 (Governing Law) survive termination.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or prominent notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date of any modifications constitutes acceptance of the modified Terms. If you do not agree, you should discontinue use and delete your account.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Queensland, Australia, without regard to its conflict of laws principles. If you are located in a jurisdiction where mandatory local consumer protection laws apply that cannot be excluded by contract, those mandatory provisions shall apply to the extent required by law, notwithstanding this choice of law.

14.2 Jurisdiction for Australian Users

If you are located in Australia, any dispute arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Queensland, Australia.

14.3 Arbitration for United States Users

Arbitration Rules: Any US Dispute shall be resolved by arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. Arbitration shall be conducted by a single arbitrator in English.

Small Claims Exception: Notwithstanding the foregoing, either party may bring an individual action in small claims court for US Disputes that qualify.

Opt-Out Right: You may opt out of this arbitration agreement by sending written notice to support@wotabox.com within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of the arbitration clause. If you opt out, the jurisdiction provisions in Section 14.5 shall apply.

14.4 Jurisdiction for UK and Canadian Users

If you are located in the United Kingdom or Canada, any dispute arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Queensland, Australia, except where prohibited by mandatory local law, in which case disputes may be brought in the courts of your habitual residence.

14.5 General Jurisdiction (All Other Users)

For users not covered by Sections 14.2, 14.3, or 14.4, any dispute arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Queensland, Australia.

14.6 Informal Resolution

Before initiating any formal proceedings or arbitration, you agree to first contact us at support@wotabox.com and attempt to resolve the dispute informally for at least 30 days.

14.7 Limitation Period

To the maximum extent permitted by applicable law, any claim or cause of action arising out of or relating to these Terms or the Service must be commenced within one (1) year after the cause of action accrues, after which it is permanently barred.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Wotabox regarding the Service and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

15.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

15.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

15.5 Force Majeure

We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, internet or telecommunications failures, third-party service outages, or acts of war or terrorism.
